1. Acceptance of Terms
By accessing, downloading, installing, or using the Orion Stars platform, application, or website (collectively, the "Platform"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by the terms and conditions set forth in this Indemnification Agreement (the "Agreement"). If you do not agree to these terms, you must immediately discontinue use of the Platform.
2. Age Requirement
You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this Agreement. Orion Stars reserves the right to verify your age and to terminate your account if you are found to be under 18.
3. Indemnification
You agree to indemnify, defend, and hold harmless Orion Stars, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your use or misuse of the Platform.
- Your violation of this Agreement or any applicable law or regulation.
- Your violation of any rights of any third party.
- Any content or information you submit, post, or transmit through the Platform.
- Your interactions with any store operators, distributors, or other users.
- Any unauthorized access to or use of your account.
This indemnification obligation will survive the termination of this Agreement and your use of the Platform.
4. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE INDEMNIFIED PARTIES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
- Your access to or use of, or inability to access or use, the Platform.
- Any conduct or content of any third party on the Platform.
- Any content obtained from the Platform.
- Unauthorized access, use, or alteration of your transmissions or content.
- Any points, credits, or virtual items lost due to system malfunctions, unauthorized access, or other causes.
In no event shall the total aggregate liability of the Indemnified Parties exceed the amount you have paid to Orion Stars, if any, in the twelve (12) months preceding the event giving rise to the claim.
5. Disclaimer of Warranties
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ORION STARS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
Malfunctions will void all gameplay and transactions. Orion Stars is not responsible for technical issues, network failures, software bugs, or system interruptions that may affect your gameplay or account balance.
6. Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to this Agreement, or the breach, termination, enforcement, interpretation, or validity thereof, shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration administered in accordance with the rules of the American Arbitration Association.
You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, class arbitration, or other representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration.
7. Governing Law
This Agreement and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State in which Orion Stars maintains its principal place of business, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction and venue of courts located within that State for all disputes arising out of or relating to this Agreement.
8. Account Termination
Orion Stars reserves the right, in its sole discretion, to suspend, restrict, or terminate your account and your access to the Platform at any time, with or without notice, for any reason, including but not limited to:
- Violation of this Agreement or any applicable terms of service.
- Engaging in fraudulent, abusive, or illegal activity.
- Providing false or misleading information during registration.
- Attempting to exploit, hack, or reverse-engineer the Platform.
- Any behavior that Orion Stars deems harmful to other users or to the integrity of the Platform.
Upon termination, your right to use the Platform will immediately cease. Orion Stars shall not be liable to you or any third party for any termination of your access.
9. Responsible Gaming
Orion Stars is committed to promoting responsible gaming practices. The Platform is intended for entertainment purposes. 10. Intellectual Property
All content, trademarks, service marks, logos, trade names, and other intellectual property displayed on the Platform are the property of Orion Stars or its licensors. You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Platform without the prior written consent of Orion Stars.
11. Severability
If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be deemed severed from this Agreement. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions.
12. Entire Agreement
This Agreement, together with the Privacy Policy and any other legal notices published by Orion Stars on the Platform, constitutes the entire agreement between you and Orion Stars concerning your use of the Platform. This Agreement supersedes all prior or contemporaneous communications, agreements, and understandings between you and Orion Stars, whether written or oral.
13. Modifications
Orion Stars reserves the right to modify this Agreement at any time. When changes are made, we will update the "Effective Date" at the top of this page. Your continued use of the Platform after any modifications constitutes your acceptance of the revised terms. It is your responsibility to review this Agreement periodically.
